2. Scope of the Terms

2.1. These Terms apply to all legal relationships concerning Voxeon services between the Provider and any business organization, sole proprietor or other person acting in the course of their business or professional activity contracting with it (hereinafter: the Client).

2.2. The Provider offers its services exclusively to businesses (B2B). The Provider does not enter into contracts with natural persons qualifying as consumers; therefore, the special rules applicable to consumer contracts (in particular the right of withdrawal under Hungarian Government Decree 45/2014 (II. 26.)) do not apply.

2.3. In the event of a conflict between an individual contract concluded by the Parties (hereinafter: Individual Contract) and these Terms, the provisions of the Individual Contract shall prevail. Matters not regulated in these Terms are governed by Hungarian Act V of 2013 on the Civil Code (Ptk.) and other applicable Hungarian laws.

2.4. Any general terms and conditions of the Client shall only become part of the contract if expressly accepted by the Provider in writing.

3. Definitions

  • Voice Agent (AI Agent): an AI-based software solution developed by the Provider that communicates independently with the Client’s customers and partners by phone or other voice channels (for example answering inbound calls, making outbound calls, booking appointments, collecting data, providing information).

  • Development: designing the Voice Agent, building its conversation logic, knowledge base and integrations, testing and launching it.

  • Third-party services: external platforms and services required for the Voice Agent to operate (for example speech synthesis and speech recognition, large language models, phone number and telephony services, automation and CRM systems).

  • Handover: making the Voice Agent available to the Client in a state ready for live operation.

4. Conclusion of the Contract

4.1. Content, case studies and audio recordings published on the website are for information purposes only and do not constitute an offer. A contact request or booking submitted through the website does not create a contract.

4.2. The conclusion of a contract is typically preceded by a free consultation or call-handling assessment, based on which the Provider prepares an individual quote. The quote is valid for the period stated in it or, failing that, for 15 days from its issue.

4.3. The contract is concluded by an Individual Contract signed by the Parties. The Individual Contract sets out in particular the functions and technical specification of the Voice Agent, the integrations, the delivery deadlines, the development fee and any additional fee elements.

4.4. The language of the contract is Hungarian. The Provider also stores the Individual Contract electronically and makes it available to the Client upon request.

5. Scope of Services

5.1. With the content specified in the Individual Contract, the Provider provides in particular the following services:

  • assessing call-handling processes and preparing an implementation plan;

  • developing a custom AI Voice Agent for inbound and/or outbound calls;

  • designing the Voice Agent’s voice, personality and conversation scripts;

  • building a knowledge base based on information provided by the Client;

  • integrating with the Client’s systems (for example calendar, CRM, online store, email, spreadsheets);

  • testing, launch and training of staff;

  • operation, support and further development services separately agreed in the Individual Contract.

5.2. Tasks not included in the Individual Contract (for example new features, additional integrations, subsequent changes to the specification) may be performed on the basis of a separate order and fee.

5.3. The Provider delivers the service with professional diligence and in line with the current state of the art. The Provider may engage contributors or subcontractors for performance, for whose activities it is liable as if it had acted itself.

6. Fees and Payment Terms

6.1. The service fee is set out in the Individual Contract. Prices are net amounts, subject to the value added tax in force at the time.

6.2. The development fee is a one-time fee due after the signing of the Individual Contract. After signing, the Provider issues an electronic invoice for the fee, payable within 8 days of issue unless otherwise agreed. The Provider begins development work once the fee has been received.

6.3. Unless otherwise agreed, the costs of third-party services required for the Voice Agent to operate (for example per-minute fees, phone number rental, AI model and speech synthesis usage fees, software subscriptions) are borne by the Client. The Client pays these directly to the provider, or the Provider re-invoices them in accordance with the Individual Contract.

6.4. In the event of late payment, the Provider is entitled to default interest under Section 6:155 of the Hungarian Civil Code and to a flat-rate recovery cost equivalent to EUR 40 in HUF under Hungarian Act IX of 2016. Until the fee is paid, the Provider may suspend performance or the operation of an already launched Voice Agent, provided it has notified the Client in writing in advance.

6.5. The development fee paid is non-refundable once work has begun, unless performance fails for reasons attributable to the Provider.

7. Cooperation of the Parties

7.1. The Parties shall cooperate and inform each other without delay of any material circumstance affecting the performance of the contract.

7.2. The Client shall provide the information, materials and access required for performance (for example system access, API keys, phone numbers, price lists, FAQs) on time, completely and accurately. The Client is responsible for the lawfulness and accuracy of the data and content it provides.

7.3. If the Client fails to fulfil or delays its cooperation obligations, delivery deadlines are extended by the duration of the delay. In the event of an attributable delay by the Client exceeding 30 days, the Provider may terminate the contract and claim payment for work already performed.

7.4. The Parties communicate primarily by email. Statements made by email are considered to be in writing.

8. Performance, Testing and Handover

8.1. The Provider develops the Voice Agent according to the schedule set out in the Individual Contract and makes it available to the Client for testing before launch.

8.2. The Client shall review the test version within 5 business days of it being made available and report any comments in writing. The Provider will correct any operation that does not meet the specification free of charge.

8.3. Performance is deemed accepted if the Client confirms the handover in writing, does not report a material defect within the period under Section 8.2, or starts using the Voice Agent in live operation.

9. Information on How Artificial Intelligence Works

9.1. The Client acknowledges that the Voice Agent is based on large language models and other machine learning technologies whose operation is probabilistic. The Provider does everything it can during testing and ongoing fine-tuning to ensure accurate operation, but does not guarantee that the Voice Agent will give a flawless, complete or accurate answer in every situation.

9.2. The Voice Agent operates based on the knowledge base and instructions provided by the Client. The Client is responsible for the content of information given to customers and for decisions based on it. The Voice Agent does not make decisions on legal, medical, financial or other high-risk matters; in such cases the call must be transferred to a live staff member.

9.3. The Client is responsible for ensuring that callers and called parties are informed, in accordance with the law, that they are communicating with artificial intelligence, as well as about any call recording and data processing. The Provider assists in drafting the notice text.

9.4. For outbound calls, the Client is responsible for having an appropriate legal basis for contacting the called persons and for complying with laws on advertising, direct marketing and electronic communications.

9.5. The availability of third-party services (for example AI models, speech synthesis, telephony services) is independent of the Provider. The Provider is not liable for their outages, operational changes or price changes, but will cooperate with the Client in handling such situations.

10. Data Processing

10.1. During the operation of the Voice Agent, personal data of the Client’s customers (for example name, phone number, conversation content, audio recording, transcript) may be processed. With respect to such data, the Client is the controller and the Provider acts as a processor.

10.2. The Parties set out the details of data processing in a data processing agreement compliant with Article 28 of the General Data Protection Regulation (GDPR), which forms part of the Individual Contract.

10.3. Detailed information on the Provider’s own data processing (website, contact, contractual communication) is provided in the Privacy Policy, available at https://voxeonai.com/privacy-policy.

11. Intellectual Property

11.1. Upon full payment of the development fee, the Client acquires a non-exclusive, perpetual right of use without territorial restriction, for its own business purposes, to the configuration, scripts and knowledge base of the Voice Agent developed specifically for it.

11.2. Methodologies, templates, code snippets, workflows and know-how previously developed by the Provider or used for multiple clients remain the property of the Provider, which may continue to use them without restriction.

11.3. The use of third-party services is governed by the respective provider’s own terms of use.

11.4. The content of the voxeonai.com website (texts, graphics, logos, audio, videos) is protected by copyright and may not be copied or distributed without the Provider’s prior written permission.

12. References

The Provider may display the Client’s name and logo, as well as a general description of the project, as a reference on its website and in its marketing materials, unless the Client prohibits this in writing. The Provider will not publish audio recordings, customer data or trade secrets without the Client’s express consent.

13. Confidentiality

The Parties shall keep confidential any trade secrets, know-how, customer data and other confidential information obtained in connection with the contract, and may disclose it to third parties only where required by law or with the other Party’s prior written consent. The confidentiality obligation remains in effect for 3 years after the termination of the contract.

14. Liability

14.1. The Provider is liable for proven direct damage caused by breach of contract. To the maximum extent permitted by law, the Provider’s liability for damages is limited to the amount of fees actually paid under the relevant Individual Contract in the 12 months preceding the damage.

14.2. The Provider is not liable for lost profits, business losses, data loss, or indirect and consequential damages, nor for damages resulting from incorrect data provided by the Client, improper use, or failures of third-party services.

14.3. The limitation of liability does not apply to liability for breaches of contract caused intentionally or by gross negligence, or those causing harm to human life, physical integrity or health.

14.4. Neither Party is liable for breach of contract caused by unforeseeable circumstances beyond its control (force majeure), in particular natural disasters, war, epidemics, official measures, nationwide power outages, or widespread internet or cloud service outages.

15. Term and Termination

15.1. A development contract ends upon performance; fixed-term operation and support services end upon expiry of the specified period. Unless the Individual Contract provides otherwise, either Party may terminate indefinite-term services in writing with 30 days’ notice.

15.2. Either Party may terminate the contract with immediate effect if the other Party commits a serious breach of contract and fails to remedy it within 15 days of receiving a written notice to do so.

15.3. Upon termination of the contract, the Client shall pay a proportionate fee for work already performed. After termination, at the Client’s request, the Provider hands over the data and content owned by the Client and then deletes the Client’s personal data in accordance with the data processing agreement.

16. Use of the Website

16.1. The voxeonai.com website can be visited freely without registration. Information published on the website is for information purposes only; the results and case studies presented relate to specific client projects and do not guarantee results achievable by other businesses.

16.2. The Provider strives to ensure the website is continuously available and error-free, but is not liable for unavailability resulting from maintenance, technical faults or third-party activities, or for the content of external links on the website.

16.3. Improper use of the website, in particular automated data collection, interfering with its operation or placing malicious code, is prohibited.

17. Complaints and Disputes

17.1. The Client may submit comments and complaints regarding the service to info@pkcentralsolutions.com. The Provider will examine the complaint on its merits and respond in writing within 15 business days.

17.2. The Parties shall primarily settle disputes amicably through negotiation. If this is unsuccessful, the Parties stipulate the exclusive jurisdiction of the court competent for the Provider’s registered office, depending on subject-matter jurisdiction.

17.3. The contract and these Terms are governed by Hungarian law.

18. Changes to the Terms

18.1. The Provider may unilaterally amend these Terms. The amended Terms enter into force upon publication on the website and apply to contracts concluded after their entry into force.

18.2. Amendments apply to existing contracts only if accepted by the Client. The Provider will notify the Client by email at least 15 days in advance of any material amendment affecting ongoing contracts.

18.3. If any provision of these Terms proves invalid, this does not affect the validity of the remaining provisions.
